PIA Holding Company Limited (PSX: PIAHCLA) has approved the transfer of its subsidiary, the Precision Engineering Complex (PEC), to the Pakistan Air Force’s designated entity, Precision Engineering Complex (Private) Limited (PECPL). The decision was formalized through a resolution passed by the shareholders of PIAHCLA, outlining the complete transfer process under an approved Scheme of Arrangement.
According to the resolution, the Precision Engineering Complex will be separated from PIAHCLA and handed over to PECPL along with all related assets, rights, and obligations. This step is part of a broader corporate restructuring initiative aimed at optimizing PIAHCLA’s operational portfolio and strengthening collaboration with strategic state-owned entities. The transaction is expected to enhance operational efficiency and ensure the continued utilization of PEC’s engineering capabilities under specialized management aligned with the Air Force’s technical expertise.
The transfer remains subject to approval by the Securities and Exchange Commission of Pakistan (SECP) and adherence to all legal and regulatory requirements. Once approved, the Precision Engineering Complex will operate as a standalone private limited company under the administrative and operational oversight of the Pakistan Air Force. This move is seen as an important transition in managing national engineering assets through entities better positioned to leverage technological infrastructure and defense-grade standards.
The resolution further authorizes the Chief Executive Officer and Company Secretary of PIAHCLA to complete all necessary procedures for implementing the transfer. This includes executing and delivering required legal documents, obtaining no-objection certificates from relevant bodies, and submitting filings to the SECP and other regulatory authorities. The completion of these formalities will mark the full divestment of PEC from PIAHCLA’s structure, ensuring a smooth handover to the Pakistan Air Force entity.
Through this development, PIAHCLA aims to focus on its core aviation and business operations, while PECPL will continue advancing Pakistan’s precision engineering capabilities.
