PTA Clears Amalgamation Of Pak Telecom Mobile Limited And Telenor Pakistan Under PTCL Umbrella

PTA has granted regulatory clearance for the proposed amalgamation of Pak Telecom Mobile Limited and Telenor Pakistan Private Limited, both of which are wholly owned subsidiaries of Pakistan Telecommunication Company Limited, marking a significant milestone in what is set to become one of the most consequential consolidations in Pakistan’s telecommunications industry in recent years. The approval was granted through an order dated March 19, 2026, and was disclosed through a regulatory filing with the Pakistan Stock Exchange. The clearance is conditional, however, and requires both entities to submit an unconditional acceptance of the stipulated conditions within 15 days of the order, a requirement that must be fulfilled before the amalgamation process can formally advance to its next stages.

The transaction is to be executed through a scheme of arrangement in line with applicable legal and regulatory frameworks, a structured mechanism commonly used for corporate mergers and consolidations that requires court sanction alongside regulatory approval. The scheme of arrangement process ensures that the rights and interests of all relevant stakeholders, including shareholders, employees, creditors, and customers of both entities, are considered and addressed within a defined legal framework before the merger becomes operative. PTA’s approval represents a critical regulatory prerequisite in that process, as any amalgamation involving licensed telecom operators in Pakistan requires the telecommunications regulator’s explicit sign-off given the licensing and spectrum implications of combining two separately licensed mobile networks under a single operational entity.

The strategic rationale behind the merger is considerable. Pak Telecom Mobile Limited, which operates under the Ufone brand, and Telenor Pakistan together serve a combined subscriber base that would make the merged entity one of the largest mobile operators in the country by user numbers. Pakistan Telecommunication Company Limited, which already owns both companies following its acquisition of Telenor Pakistan, has been working to consolidate the two operations in order to eliminate duplication, achieve operational efficiencies, reduce costs, and create a more competitive and financially robust telecom player capable of investing meaningfully in next-generation network infrastructure, including the 5G spectrum that both Ufone and Telenor Pakistan, as a shared entity, participated in acquiring during the recently concluded spectrum auction. The merged operator is expected to hold a substantial combined spectrum portfolio, positioning it well for the 5G deployment phase that is now formally underway in Pakistan. Further updates on the amalgamation process are to be communicated to the Pakistan Stock Exchange in accordance with relevant laws and regulations as the process progresses toward completion.
