PTA Grants NOC For Telenor Pakistan Amalgamation Into PTCL Subsidiary In Major Telecom Consolidation

PTA (Pakistan Telecommunication Authority) has granted its No-Objection Certificate for the consolidation and amalgamation of Telenor Pakistan (Private) Limited into Pak Telecom Mobile Limited, clearing a critical regulatory hurdle for one of the most significant corporate restructurings in Pakistan’s telecommunications sector in recent years. Both Telenor Pakistan and Pak Telecom Mobile Limited are wholly owned subsidiaries of Pakistan Telecommunication Company Limited (PSX: PTC), and the regulatory approval covers the consolidation and transfer of PTA licences as part of the broader transaction.

The proposed amalgamation will be executed through a scheme of arrangement in line with applicable laws. The development follows PTC’s earlier disclosure to the Pakistan Stock Exchange on March 19, 2026, and has been formally notified to the exchange pursuant to Rule 5.6.1 of the PSX Rule Book read with Section 96 of the Securities Act 2015. The formalisation of PTA’s clearance represents a significant step toward completing a consolidation that has been in motion for some time, bringing the subscriber bases, network assets, and operational infrastructure of Telenor Pakistan under a single unified entity within the PTCL group structure.

The merger, which combines the Telenor and Ufone networks under one corporate umbrella, is expected to produce a larger, more competitive operator better positioned to invest in next-generation infrastructure including 5G at a time when Pakistan’s telecom market is undergoing its most significant spectrum and technology transition in years. PTA’s grant of the No-Objection Certificate signals that the regulatory framework governing licence transfers and operator consolidation has been satisfied, allowing the parties to proceed through the remaining legal and procedural steps. PTCL has indicated that further updates on the matter will be communicated to the Pakistan Stock Exchange as required under applicable laws and regulations, with market participants watching closely for the timeline of the scheme of arrangement’s formal completion.
