Pakistan Scrutinizes PTCL-Telenor Merger for Competition Impact

Competition Commission of Pakistan is deeply involved in examining the proposed merger between PTCL and Telenor Pakistan. This in-depth review, known as Phase II, will determine if the merger is approved and under what conditions. The ultimate goal is to ensure a competitive telecom market in Pakistan.

The CCP’s investigation involves several steps. First, they’re gathering detailed data on the current market landscape. This will provide a clear picture of the industry before the merger. They’re also analyzing responses from market participants through questionnaires. This allows the CCP to understand how businesses perceive the potential merger.

Regulatory input from PTA is another crucial aspect of the review. PTA’s insights into the telecom sector will inform the CCP’s decision. Finally, the CCP will assess any claimed benefits to consumers from the merger. If the merger creates efficiencies that translate into lower prices or better services for customers, the CCP will consider this a positive factor.

This Phase II review follows an initial analysis, which identified potential concerns about competition in the telecom sector. PTCL filed a pre-merger application in March 2024, and the CCP initiated Phase II promptly within the legal timeframe.

Phase II review allows for a more thorough investigation into the potential impact of the merger on competition. In the past, the CCP has approved mergers with conditions designed to mitigate any anti-competitive effects. These conditions can involve structural changes within the merged companies or adjustments to their business practices. The goal is to protect consumers from a potential dominant position by the merged entity.

Pakistan’s mandatory merger control regime requires such transactions to be reviewed and approved by the CCP before they are finalized. If companies fail to comply with this process, they can face significant fines, be forced to take corrective actions, or even see the merger declared invalid.

The CCP’s ongoing scrutiny highlights its commitment to promoting a fair and competitive telecom market in Pakistan. The final decision on the PTCL-Telenor merger will depend on the outcome of this comprehensive Phase II review.
