PTCL Completes Acquisition Of Telenor Pakistan And Orion Towers

Pakistan Telecommunication Company Limited has completed the acquisition of 100 percent shareholding of Telenor Pakistan Private Limited and Orion Towers Private Limited, formally concluding a transaction process that had been disclosed in stages over the past three years. The completion marks a significant corporate milestone for PTCL, consolidating ownership of both entities following regulatory approvals and phased disclosures communicated to the market during the course of the transaction.

In a statement issued on December 31, 2025, PTCL confirmed that full ownership of Telenor Pakistan and Orion Towers was acquired on the same date. The company noted that the development represents the final step in a transaction that had been progressively shared with stakeholders through a series of official communications. These disclosures were issued on January 31, 2023, August 29, 2023, December 14, 2023, April 8, 2024, June 27, 2024, October 1, 2025, and December 8, 2025, each outlining phase wise progress related to the acquisition. The phased approach reflected the complexity of the transaction, which involved multiple regulatory, operational, and structural considerations before reaching completion.

PTCL confirmed that all shares of Telenor Pakistan Private Limited and Orion Towers Private Limited have now been duly transferred in the name of Pakistan Telecommunication Company Limited. With the transfer finalized, PTCL assumes complete ownership and control of both companies, bringing the assets and operations fully under its corporate structure. The acquisition strengthens PTCL’s position within Pakistan’s telecom sector, particularly in mobile services and telecom infrastructure, given Telenor Pakistan’s established subscriber base and Orion Towers’ portfolio of telecom towers. The transaction is expected to support operational alignment and long term strategic integration across PTCL’s business segments, although the company has not outlined specific operational changes at this stage.

Market activity reflected modest movement following the announcement. At the time of reporting, PTCL’s share price stood at Rs. 59.53, showing an increase of Rs. 0.38 or 0.64 percent. The share price movement indicated a measured response from investors as the acquisition process reached its conclusion after an extended timeline. PTCL has consistently maintained that disclosures related to the transaction would be made in accordance with regulatory requirements, and the final confirmation aligns with that commitment. With the acquisition now complete, PTCL enters the next phase with full ownership of Telenor Pakistan and Orion Towers, closing a transaction that has remained in focus for the telecom and business community over the last three years.
