Zuma Resources Limited is planning to establish and sponsor a Special Purpose Acquisition Company (SPAC) with a proposed capital of Rs. 350 million. The company aims to pursue merger and acquisition opportunities in technology, artificial intelligence (AI), digital connectivity and other eligible high growth sectors. According to a material information disclosure submitted to Pakistan Stock Exchange (PSX) on November 2, the board of directors of the company approved the proposal at a meeting held on October 30, 2026. The proposed entity is tentatively named Zuma SPAC-I Limited, and it would seek a listing on PSX, subject to applicable regulatory requirements and the necessary approvals.
As part of the initiative, Zuma Resources intends to provide shares in the proposed SPAC free of cost to its existing shareholders, which creates a potential opportunity for them to hold a direct stake in a separately listed investment and acquisition vehicle. Eligible shareholders would receive the SPAC shares without making any subscription payment, and the allocation would be made on a proportionate basis according to the existing stake of each shareholder in Zuma Resources. The company said that the allocation ratio and the eligibility date would be finalised and announced at a later stage, and that the distribution would involve allocating or transferring a portion of the shareholding of Zuma Resources in the SPAC to its existing shareholders.
The free share arrangement remains subject to several conditions. These include the establishment and proposed listing of the SPAC, applicable sponsor shareholding and transfer restrictions, the necessary corporate and regulatory approvals, and the finalisation of a legally permissible distribution mechanism. The company described the initiative as an effort to enhance shareholder value by giving existing investors an opportunity to gain direct ownership in a separate investment vehicle. A SPAC is generally established to pursue a merger, acquisition or similar business combination, and the company has outlined the proposed capital and the target sectors but has not identified a specific acquisition target in its disclosure.
Zuma Resources has also not announced a definitive timeline for the establishment or listing of the SPAC, nor has it disclosed the final terms for the proposed allocation of shares to existing shareholders. The proposal therefore remains at the planning stage, and its implementation depends on regulatory clearances and on the completion of the required corporate and legal arrangements. The company said that it would keep the exchange informed of material developments in accordance with applicable regulations, which means that further details, including the allocation ratio and the eligibility date, are to be shared through the exchange when they have been decided.
