Systems Limited Plans Potential Acquisition Of IT Services Business After Board Approval

Systems Limited has announced that it is exploring the potential acquisition of an Information Technology (IT) services business following approval from its Board of Directors. The development was disclosed in a notice to the Pakistan Stock Exchange (PSX), signalling the company’s intent to expand its portfolio through strategic growth opportunities. According to the notice, the Board granted authorisation during its meeting held on September 16, 2025, allowing Systems Limited to proceed with discussions and assessments relating to the possible transaction.

The company clarified that the acquisition remains at an exploratory stage and is contingent upon several factors. These include the successful finalisation of commercial terms with the target business, completion of a comprehensive due diligence process, execution of definitive agreements and securing all necessary regulatory approvals. Systems Limited stated that it will keep the PSX informed of any material updates as discussions and evaluations progress, reflecting its commitment to transparency with shareholders and the market. Such a measured approach underscores the company’s focus on ensuring any acquisition aligns with its strategic objectives and operational standards before moving forward.

In addition to this potential acquisition, the Board of Directors also approved a key leadership change. Mr. Fayez Qamar Rasheed has been appointed as the new Company Secretary of Systems Limited. This appointment signals continued emphasis on strengthening corporate governance and internal processes as the company explores new avenues for expansion. Systems Limited has not disclosed specific details about the IT services business under consideration but emphasised that the move aligns with its core competencies and market position.

Systems Limited is a public limited company incorporated in Pakistan under the Companies Act, 2017. It is primarily engaged in software development, the trading of software products and the provision of business process outsourcing (BPO) services to a range of clients. Over the years, it has built a reputation for delivering technology solutions across various industries, positioning itself as one of Pakistan’s most prominent IT and business process outsourcing providers. The possible acquisition represents a continuation of the company’s long-standing strategy of leveraging technology, talent and partnerships to expand its offerings and reinforce its presence in both local and international markets.
